Terms of Service

1. Acceptance of Terms

By accessing and using the Pavictek Digital Ltd website (www.pavictek.com) or engaging our services, you accept and agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our website or services.

2. Services

Pavictek Digital Ltd provides technology solutions including security systems installation, smart automation, digital development (websites, mobile apps, e-commerce), and media solutions. Specific terms for each service engagement are set out in individual project proposals and service agreements signed between Pavictek and the client.

3. Use of Website

You agree to use our website only for lawful purposes. You must not:

• Use the website in any way that violates applicable Nigerian or UK laws or regulations
• Transmit any unsolicited commercial communications
• Attempt to gain unauthorised access to any part of the website or its related systems
• Reproduce, duplicate, copy, or re-sell any part of our website without express written permission

4. Project Engagement & Payment

All service engagements are subject to a written project proposal and, where applicable, a signed service agreement. Standard payment terms are:

• 50% deposit required before project commencement
• Balance payable on project completion or as per the agreed payment schedule
• Invoices are due within 7 days of issuance unless otherwise agreed in writing
• Overdue invoices attract interest at 5% per month

5. Intellectual Property

Upon full payment of all agreed fees, ownership of custom-developed code, design work, and digital assets transfers to the client. Pavictek retains the right to showcase completed work in its portfolio unless the client specifically requests confidentiality in writing.

Third-party software, plugins, frameworks, and licensed assets incorporated into deliverables remain subject to their respective licences.

6. Hardware & Equipment

All physical equipment supplied by Pavictek (security cameras, automation hardware, etc.) remains the property of the client upon full payment. Equipment warranties are subject to manufacturer terms. Our installation warranty covers workmanship for 12 months from project completion.

7. Limitation of Liability

To the maximum extent permitted by applicable law, Pavictek Digital Ltd shall not be liable for:

• Any indirect, incidental, special, or consequential damages arising from use of our services
• Loss of profits, revenue, data, or business opportunities
• Damages arising from factors outside our reasonable control (force majeure)

Our total liability in connection with any service shall not exceed the total fees paid by the client for that specific service in the preceding 12 months.

8. Confidentiality

Both parties agree to keep confidential any proprietary information disclosed during the course of a project engagement. This obligation continues for 3 years after the conclusion of the engagement.

9. Termination

Either party may terminate a service agreement with 30 days' written notice. In the event of termination, the client is liable for payment of all work completed to the date of termination, plus any third-party costs already incurred on the client's behalf.

10. Governing Law

These terms are governed by the laws of the Federal Republic of Nigeria. Any disputes shall be subject to the exclusive jurisdiction of the courts of Nigeria, with Ibadan, Oyo State as the preferred jurisdiction.

11. Changes to Terms

We reserve the right to modify these terms at any time. Changes will be effective immediately upon posting to our website. Your continued use of our services after changes constitutes acceptance of the new terms.
